Nextedge Solutions LLP is a technology solutions provider based in Delhi, India, offering services in:

  • Audio-Visual Systems

  • IT Infrastructure & Networking

  • Electromechanical and Facility Services

We serve government, corporate, institutional, and infrastructure sectors across India.

3. Permitted Use
You agree to use this website lawfully and not to:

  • Misrepresent identity or affiliation

  • Attempt unauthorised access to systems or data

  • Transmit malicious or harmful content

  • Copy, reproduce, or commercially exploit website content without written consent

4. Service Engagements
All services are governed by separate written agreements, work orders, or purchase orders.

Key conditions:

  • Scope: Defined in writing prior to execution

  • Timelines: Subject to site readiness and external dependencies

  • Payments: As per agreed terms, inclusive of applicable GST

  • Warranty: As per OEM/manufacturer and agreement terms

  • AMC: Governed under separate maintenance contracts

5. Intellectual Property
All website content is owned by or licensed to Nextedge Solutions LLP and is protected under applicable intellectual property laws.
Third-party brand names and logos are the property of their respective owners and are used for identification purposes only.

6. Limitation of Liability
To the extent permitted by law, Nextedge Solutions LLP shall not be liable for:

  • Indirect or consequential damages

  • Loss arising from reliance on website content

  • Temporary website downtime or technical issues

For project-related matters, liability shall be governed exclusively by the applicable agreement.

7. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts located in Delhi, India.
Parties agree to attempt resolution through mutual discussion prior to legal proceedings.

8. Modifications
We reserve the right to update these Terms at any time. Continued use of the website constitutes acceptance of revised Terms.

10. Government e-Marketplace (GeM) Transactions
For all orders received through the Government e-Marketplace (GeM) platform, the following additional terms shall apply:

10.1 Order Acceptance & Contract Formation
A binding contract shall be deemed to be formed only upon:

  • Issuance of a valid GeM Contract / Purchase Order, and

  • Formal acceptance by Nextedge Solutions LLP

Any pre-bid communication, pricing discussion, or informal confirmation shall not be considered legally binding.

10.2 Scope Finalisation & Specifications
The scope of work shall be strictly limited to:

  • Specifications mentioned in the GeM bid / contract, and

  • Any written clarifications issued before bid submission

Any additional work, deviation, or change request shall:

  • Be treated as a separate chargeable activity, and

  • Require written approval from the buyer authority

10.3 Site Readiness & Buyer Dependencies
Project execution timelines shall be subject to:

  • Site readiness (power, civil work, access, safety conditions)

  • Availability of authorized personnel from buyer side

  • Timely approvals and coordination from the department

Any delay arising due to the above shall:

  • Not be attributed to Nextedge Solutions LLP

  • Automatically extend delivery and completion timelines

10.4 Installation, Testing & Commissioning (ITC)

  • Installation and commissioning shall be carried out as per agreed scope

  • Successful commissioning shall be considered complete upon:

    • System demonstration, and

    • Handover to authorized representative

If the buyer fails to provide sign-off, the following shall apply:

  • Email confirmation / site report shall be treated as deemed acceptance

10.5 CRAC / Consignee Receipt and Acceptance Certificate

  • The buyer/consignee is responsible for timely generation of CRAC on the GeM portal

  • In case of delay beyond reasonable time after delivery/installation:

    • Written communication (email/site report) shall be treated as proof of delivery and acceptance

    • Nextedge reserves the right to initiate payment follow-up based on such documentation

10.6 Payment Terms & Delays

  • Payments shall be processed as per GeM guidelines and PFMS system timelines

  • Any delay in payment due to:

    • Non-generation of CRAC

    • Internal departmental approvals

    • Budgetary constraints

shall not be the responsibility of Nextedge Solutions LLP

Nextedge reserves the right to:

  • Charge interest on delayed payments (if permitted under contract), or

  • Suspend further services/support in case of excessive delay

10.7 Price Validity & Cost Escalation
Quoted prices are based on:

  • Prevailing market rates

  • OEM pricing

  • Import duties and taxation

In case of:

  • Significant increase in material cost

  • Change in tax structure

  • Delay in order placement after bid finalization

Nextedge reserves the right to seek price revision through mutual discussion, subject to GeM policies.

10.8 Warranty & OEM Responsibility

  • Product warranty shall be governed by respective OEM terms

  • Nextedge acts as a system integrator / supplier

Any defects relating to:

  • Manufacturing

  • Firmware/software

  • OEM hardware failure

shall be addressed as per OEM service process

10.9 Limitation of On-Site Liability
Nextedge shall not be responsible for:

  • Damage caused due to improper site conditions

  • Electrical fluctuations or earthing issues

  • Third-party interference or misuse of installed systems

10.10 Blacklisting / Performance Issues
No adverse action such as:

  • Negative rating

  • Penalty

  • Blacklisting

shall be initiated without:

  • Providing written notice, and

  • Allowing reasonable time for resolution

10.11 Force Majeure
Nextedge shall not be liable for delays or failure due to:

  • Government restrictions

  • Supply chain disruptions

  • Natural disasters

  • Pandemic or unforeseen events

Timelines shall be extended accordingly.

10.12 Jurisdiction
All GeM-related disputes shall remain subject to:

  • GeM platform rules, and

  • Jurisdiction of courts in Delhi, India
